Corporate Counsel

We are currently seeking an attorney to fill our Corporate Counsel position. Our ideal candidate will have the ability to assist our General Counsel in providing exceptional legal services through superior problem solving, communication and negotiation skills. Representative Responsibilities 
Assists the General Counsel with the following:
• Reviews business practices and policies of the organization to meet regulatory requirements
• Protects the organization from legal action and assists in the preparation and management of its legal defense
• Administers legal responsibilities of the organization:
  • Drafting, reviewing, negotiating and administering contracts, licenses, leases and other agreements
  • Supports and assists maintenance of the organization’s intellectual property portfolio
  • Coordinate external legal resources as needed
  • Research, anticipate and guard the organization against legal risks
• Acquisitions and strategic partnerships:
  • Analyzing business opportunities and acquisitions, joint ventures, and strategic partnerships
  • Preparation of LOIs
  • Acquisition project management
  • Integration project management
• Reviewing and negotiating contracts for all other departments and affiliate companies with vendors, partners, and other external entities
• Perform other similar or related duties as requested or assigned
• Complete special projects and requests in a timely and positive fashion
• Ability to travel when necessary
 Minimum Requirements
• Bachelor’s degree
• Law degree and must be admitted to at least one state bar and be in good standing. Wisconsin state bar membership is preferred.
• 1-3 years legal experience in business law, corporate law, or related practice(s)
• Excellent written and oral communication and interpersonal skills, ability to get along with diverse personalities.  Tactful and mature.
• Ability to establish credibility and be decisive, but able to recognize and positively support the organization’s preferences and priorities.
• Superior organizational, research, problem-solving and negotiating skills.
• Strong attention to detail.
• Computer skills required (contract management software, Excel, Word, Internet Explorer, Windows).
• Ability to work under pressure and in a fast paced setting on a variety of issues.
